These terms govern your use of the Qualifyr platform and its associated services.

1. Agreement to Terms
By accessing or using Qualifyr (the "Platform"), provided by Qualifyr Inc. ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Platform on behalf of an organization, you agree to these Terms for that organization and represent that you have the authority to bind that organization to these terms.
2. Use of AI Services & Disclaimers
Qualifyr utilizes Artificial Intelligence (AI) to perform lead qualification, voice synthesis, and document generation.
We do not guarantee the accuracy, completeness, or usefulness of any AI-generated output. Use of such output is at your own risk.
3. Telephony & Compliance Obligations
Our Platform enables automated outbound calling via Vapi and Twilio. By using these features, you represent and warrant that:
- You have obtained all necessary consents and authorizations required by law (including TCPA and GDPR) to contact the individuals in your lead lists.
- You will not use the Platform for "robocalling" or any activities that violate the Telephone Consumer Protection Act or other similar regulations.
- You are responsible for all costs associated with telephony usage, which may be billed separately or via Platform credits.
- You will respect all "Do Not Call" lists and provide clear opt-out mechanisms for your contacts.
4. User Accounts & Security
To access the Platform, you must register for an account. You agree to provide accurate, current, and complete information. You are solely responsible for:
- Maintaining the confidentiality of your account credentials.
- All activities that occur under your account.
- Notifying us immediately of any unauthorized use of your account.
5. Payments, Subscriptions & Refunds
Subscription: Certain parts of the Service are billed on a subscription basis. You will be billed in advance on a recurring and periodic basis.
Automatic Renewal: At the end of each billing cycle, your subscription will automatically renew under the exact same conditions unless you cancel it.
Taxes: All fees are exclusive of taxes, which will be charged as applicable based on your jurisdiction.
Refunds: Except when required by law, paid subscription fees are non-refundable.
6. Intellectual Property Rights
The Platform and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Qualifyr and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.
User Content: You retain all rights to the lead data and business materials you upload. However, you grant us a worldwide, non-exclusive, royalty-free license to use, host, and process this data solely for the purpose of providing the Service to you.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL QUALIFYR BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE.
8. Termination
We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including without limitation a breach of the Terms.
9. Governing Law
These Terms shall be governed and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.
10. Modifications to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.
